All Orders placed by the Customer and accepted by Alyaf Al Tawasul (“the Company”) are subject to the following Terms and Conditions:
General
Orders placed for all products and services available on Alyaf Al Tawasul’s website (https://www.alyafaltawasul.com/) are accepted by Alyaf Al Tawasul, a company located in the Kingdom of Saudi Arabia. Unless otherwise specified and approved in writing by authorized personnel of Alyaf Al Tawasul, these Terms and Conditions govern the sales and procurement of products and services, and any other terms and conditions are invalid. Any explanations provided by Alyaf Al Tawasul or displayed on the website do not form part of the agreement between Alyaf Al Tawasul and the Customer. Products offered for sale on the website are not stocked by Alyaf Al Tawasul. If there are any conflicting provisions specifically related to “Extended Range Products” in these Terms and Conditions, the specified provisions shall prevail. Alyaf Al Tawasul is the authorized logistics sponsor of the company. The company’s product line is stocked in various locations, and Alyaf Al Tawasul will import ordered products in compliance with Saudi Arabian laws and customs regulations. If the Customer requires a re-export procedure, they must inform Alyaf Al Tawasul in writing and obtain written approval. All written notifications related to products under this Agreement should be sent to Alyaf Al Tawasul’s address in the Kingdom of Saudi Arabia or to the email address order@alyafaltawasul.com. Failure to comply may result in the Customer being responsible for any issues that may arise. Alyaf Al Tawasul supplies products and services for business-to-business transactions. The website is designed for institutional customers, and any customers acting as consumers are deemed to have accepted these Sales Terms and Conditions.
Prices
Product and service prices displayed on Alyaf Al Tawasul’s website are subject to regular updates and changes. The current prices and information can be obtained by contacting Alyaf Al Tawasul or requesting a valid price offer. The prices listed do not include VAT, which will be added to the shopping cart based on the applicable rates on the date of purchase. Alyaf Al Tawasul and the Customer reserve the right to change prices at any time without prior notice. All prices provided by Alyaf Al Tawasul are valid for the ordered products, including delivery costs, customs expenses, and other associated costs.
Order
Customers should place orders using Alyaf Al Tawasul’s stock numbers and the price units provided in a valid price offer. In the event of an incorrect product or product number, or duplicated order, the provisions stated in Article 12 of these Terms and Conditions will apply. Orders must be submitted to Alyaf Al Tawasul within a reasonable timeframe to ensure a suitable delivery period (refer to the “Delivery” section for more information). Alyaf Al Tawasul reserves the right to refuse business with any company or individual. Furthermore, within a reasonable period after receiving the order, Alyaf Al Tawasul may reject the order by notifying the Customer via telephone, fax, or email, regardless of whether payment has been made. Alyaf Al Tawasul fulfills orders according to the Customer’s requirements and will not deliver a different product unless a more current version is available and specifically requested by the Customer in writing. If the ordered product is not available in sufficient quantities, Alyaf Al Tawasul may, at the Customer’s request, either cancel or postpone the order until the missing part can be fulfilled with products available from Alyaf Al Tawasul’s stocks in the future.
Delivery
Alyaf Al Tawasul aims to ensure timely delivery of products in accordance with customer orders. The available delivery options for customers, as specified on the company’s website, cover the shipment of products to Alyaf Al Tawasul’s office in Kingodm Of Saudi Arabia after placing an order on www.alyafaltawasul.com. Customers can choose from the following delivery options:
- Normal Cargo from United Kingdom (7-10 working days): If the ordered product is available in Alyaf Al Tawasul’s stock prior to the weekly deadline (until 15:30 each Friday), the company guarantees delivery within 7 to 10 working days under normal circumstances. Please note that there may be delays due to shipping or customs procedures.
- Normal Cargo from USA (4 weeks): If the ordered product is available in Alyaf Al Tawasul’s stock prior to the weekly deadline (until 15:30 each Friday), the company ensures delivery within 20 working days (4 weeks) under normal circumstances. Please note that there may be delays due to shipping or customs procedures.
- Express Cargo for UK-stocked products (1-3 workdays): If the ordered product is available in Alyaf Al Tawasul’s stock prior to the daily deadline (until 15:30), the company guarantees delivery within 1 to 3 working days under normal circumstances. Please note that there may be delays due to shipping or customs procedures. The customer is responsible for paying the express cargo fees, which will be added to the total amount of the invoice.
The delivery dates and periods provided by Alyaf Al Tawasul on their website are approximate and serve as a general guideline. Alyaf Al Tawasul is not responsible for any delays in delivery. These estimated schedules do not form the basis of the sales relationship between the parties.
For “Extended Range Products,” Alyaf Al Tawasul plans delivery based on the projected delivery periods mentioned on their website. If Alyaf Al Tawasul is unable to deliver the “Extended Range Products” within the projected delivery period specified by the customer, the company will inform the customer and offer alternative options. Orders for “Extended Range Products” with a total amount less than 300,00 TL will be subject to additional transportation and cargo handling expenses, as specified in the offer on the date of the order or published on Alyaf Al Tawasul’s website. Please note that orders placed for “Extended Range Products” cannot be canceled. Customers should verify the availability and delivery period of the product by contacting Alyaf Al Tawasul’s personnel before placing an order.
Inspection, Delay in Delivery, and Non-Delivery
Upon receiving the delivery, customers are responsible for inspecting the products in accordance with the provisions stated in the Turkish Law of Obligations and Turkish Code of Commerce. Any defects should be promptly reported to Alyaf Al Tawasul. If no notice is given, it will be assumed that the products are delivered as per the order, without any defects or deficiencies, and the customer accepts the delivered products. Unless the customer provides written evidence to the contrary, the waybills recorded by Alyaf Al Tawasul, including amounts, will be accepted as material evidence. Optional rights granted by the law serve as solutions for undelivered products, products delivered with defects or deficiencies, or products not delivered according to the customer’s order. Alyaf Al Tawasul cannot be held responsible for any losses, costs (including legal fees), expenses, liabilities, injuries, loss of profits (including contingent profit), business or economic losses, loss in value, damages, claims, allegations, lawsuits, court decisions, or any other conditions directly or indirectly.
Payments
If Alyaf Al Tawasul does not offer credit to the Customer, payment must be made at the time of placing the Order. Customers can contact our sales personnel to inquire about credit opportunities based on relevant documents and procedures. Payments can be made via money transfer or credit card. For detailed information regarding payments, please contact our dedicated personnel at order@alyafaltawasul.com.
Ownership
Upon delivery of the products, the risk of loss or damage transfers to the Customer. Ownership of the supplied products will not be transferred to the Customer until the complete payment has been made or until the outstanding debt to Alyaf Al Tawasul has been settled. In the event of payment delays, Alyaf Al Tawasul reserves the right to request the immediate return of all products.
Product Continuity and Stock Availability Alyaf Al Tawasul reserves the right to discontinue the production of any product without prior notice, make design modifications, or ensure product availability, while the Alyaf Al Tawasul Product Catalogue is valid and in use. Unless otherwise specified, the information provided in our catalogues cannot be considered as originating from the manufacturer’s official documents or used as an original source of information.
Warranty
Alyaf Al Tawasul guarantees free-of-charge repairs, replacement of defective products, or a refund of the purchase price, based on the Customer’s preference, in accordance with Article 5 of this Agreement. The warranty is subject to the period specified by law for the product from the date of delivery. If a longer warranty period is specified in writing by Alyaf Al Tawasul for certain products, the warranty is valid upon the Customer’s written request to Alyaf Al Tawasul within that specified period. For services provided by Alyaf Al Tawasul (as specified in Article 13): If the service is found to be defective, Alyaf Al Tawasul guarantees the restoration of the service or the provision of a free replacement product, at its discretion, within the warranty period determined by the legislation specific to each product. This warranty starts from the service commencement date by Alyaf Al Tawasul. If a special service is required, a written request must be submitted within the specified period indicated by Alyaf Al Tawasul and mentioned in the product description. These warranty terms are not applicable in cases of misuse, failure to follow usage instructions, or defects caused by repairs or modifications made by the Customer without the approval of Alyaf Al Tawasul. To initiate warranty claims, the Customer must return the products in their original packaging and comply with Alyaf Al Tawasul’s instructions. All Orders placed by the Customer and accepted by Alyaf Al Tawasul are subject to these Terms and Conditions. When requesting a product return, written notification must be provided to Alyaf Al Tawasul. Products returned without prior notification may be rejected and returned to the Customer, with the expenses to be borne by the Customer. All products returned and accepted by Alyaf Al Tawasul will become Alyaf Al Tawasul’s property.
Usage Restrictions
We advise against using products sold by Alyaf Al Tawasul in life support systems, surgical implantation, nuclear or avionics applications, or any applications that could pose a risk to systems or human beings in the event of a component defect. Alyaf Al Tawasul and/or its affiliates shall not be held responsible for any damages resulting from such usage.
Liabilities
Alyaf Al Tawasul shall not be held liable for costs (including disbursements), economic losses, business devaluation, loss of profits (including contingent profit), injuries, liabilities, expenses, direct or indirect losses, or damages that may arise from the errors of agencies, subcontractors, or employees, whether related to neglect or failure to provide information or recommendations (including technical personnel) or in connection with allegations, claims, lawsuits, or court decisions.
Alyaf Al Tawasul shall not be held accountable for:
- The conditions of the order approved by Alyaf Al Tawasul or the written or verbal sales agreement between Alyaf Al Tawasul and the Customer.
- Legal liabilities of Alyaf Al Tawasul in accordance with the agreement between Alyaf Al Tawasul and the Customer or the order approved by Alyaf Al Tawasul.
- Defects in products or services.
- Violations of intellectual property rights.
- Potential business losses, revenue or profit losses, punitive damages, economic losses resulting from the loss associated with these Terms and Conditions, damage to reputation or honor, losses of contracts or orders, direct or indirect losses or damages arising from or in connection with these conditions, or as a consequence of these conditions.
Cancellations and Returns
Customers of Alyaf Al Tawasul are not permitted to cancel orders that have been accepted. However, Alyaf Al Tawasul may, at its own discretion, grant permission for cancellation requests in writing. In the case of a partial cancellation of an order, Alyaf Al Tawasul will invoice the price difference of the relevant product unit between the delivery date and the return date by comparing the order amounts. Customers are only eligible to return products to Alyaf Al Tawasul and may convert their receivables from Alyaf Al Tawasul into credit or request the return of receivables, subject to the following conditions:
- Customers must obtain written approval from Alyaf Al Tawasul by submitting an application prior to returning the product.
- Customers must make their return request within 15 days from the date of product delivery.
- Products must be returned to Alyaf Al Tawasul in their original packaging, ready for sale.
- Products must be delivered to Alyaf Al Tawasul in accordance with the return instructions using a prepaid courier service.
If products are returned for reasons other than “Warranty” conditions specified in Article 9, the return costs will be borne by the customer. This return policy excludes calibrated products (excluding software), products packaged for production, “Extended Range Products,” and custom-built products. Additionally, Alyaf Al Tawasul will not accept the return of ESD-sensitive devices whose protective covers have been opened, and the original Alyaf Al Tawasul ESD integrity has been compromised (e.g., opened and resealed packages or packages that have been stapled together, etc.). Alyaf Al Tawasul cannot be held liable for losses or damages that may occur during the transit delivery of products or other products delivered by the customer alongside these products. Return costs for returns carried out under the return policy will amount to 30% of the invoice amount.
Services
Alyaf Al Tawasul, located in the Kingdom of Saudi Arabia, offers a range of services related to our products. These services include repair, calibration, software updates, EPROM programming, and other mutually agreed-upon services. We strive to adhere to a schedule for the completion of these services, as outlined in our offer. However, please note that we cannot be held responsible if unforeseen circumstances prevent us from meeting the specified schedule.
For the successful execution of our services, it is essential that the product is free from any physical or electrical damage or unauthorized modifications, except for the repair service (excluding modifications specified in the accompanying product documents). Please follow the usage instructions provided for the product when submitting a repair information/questionnaire form. Depending on the availability of parts and the absence of excessive damage or modifications, we will determine whether repair service can be provided. Alternatively, at our sole discretion, we may choose to replace the product with another.
If software was delivered with the product or created by the customer, we will delete or destroy it upon receipt. Please be aware that we cannot be held responsible for any data residing in the software or similar reasons. Additionally, any customer data or programs stored on devices must be deleted or destroyed. We and Alyaf Al Tawasul cannot be held responsible for this operation. It is the customer’s responsibility to provide us with relevant information and recommendations regarding these data or programs installed for their specific requirements. If the customer fails to provide such information or declines to do so, we and Alyaf Al Tawasul cannot accept any responsibility. It is crucial that any information provided to us or Alyaf Al Tawasul by the customer, as well as any operations or duplications conducted by us or Alyaf Al Tawasul, do not infringe upon intellectual and industrial property rights or any other rights of third parties.
Force Majeure
Force majeure conditions refer to circumstances that were not present or foreseeable at the time of signing or accepting these Terms and Conditions. These conditions are beyond the control of either party, making it partially or completely impossible for them to fulfill their obligations under the Agreement or to meet their commitments on time. Within the scope of these Terms and Conditions, force majeure includes natural disasters, epidemics, war, terrorist acts, uprisings, legislative provisions, confiscation, strikes, lockouts, and significant failures in production and communication facilities.
If either party is affected by a force majeure event, they are obligated to promptly inform the other party in writing or via email about the situation. During the force majeure event, both parties will be exempt from fulfilling their responsibilities. If the force majeure conditions persist for more than 15 (fifteen) days, either party has the right to unilaterally terminate the Agreement. This termination right can be exercised without prejudice to other provisions of the Agreement.
Rights Specified in the Catalogue for Alyaf Al Tawasul
Alyaf Al Tawasul, located in the Kingdom of Saudi Arabia, and with the email address order@alyafaltawasul.com, acknowledges and respects the intellectual and industrial property rights specified in its website and catalogues. These rights are owned by Alyaf Al Tawasul and its licensors. As a customer, you hereby acknowledge, declare, and agree that duplicating these rights, either partially or completely, without obtaining the written approval of Alyaf Al Tawasul in advance is strictly prohibited.
Law Applicable and Jurisdiction
All orders placed by customers and accepted by Alyaf Al Tawasul will be executed in accordance with the Terms and Conditions outlined above and will be interpreted in accordance with the laws of the Kingdom of Saudi Arabia. Both parties agree to the exclusive jurisdiction of the Istanbul Anatolian Side Courts and Enforcement Offices.
